AVIDERS – Partner Terms & Conditions

These Partner Terms & Conditions (“Terms”) govern participation in the AVIDERS platform by any individual or organization onboarding as a Seller, Supplier, NGO, Tutor, Artist, or other Partner (“Partner”, “You”, “Your”).
By submitting an onboarding application or using any Partner features, you confirm that you have read, understood, and agreed to these Terms.
1. About AVIDERS
AVIDERS operates a digital engagement and rewards platform that allows users to earn and use AVD reward coins through activities such as shopping rewards, referrals, promotions, and other platform features.
AVIDERS facilitates partner discovery, reward-based engagement, and settlement support, but is not a bank, wallet provider, or financial institution.
2. Partner Categories Covered
These Terms apply to all partners onboarding under:
Sellers
Suppliers
NGOs / Charitable Organizations
Tutors / Educators
Artists / Creators (including tattoo artists, designers, embroidery, crafts, etc.)
Each category may have additional requirements, but these core Terms apply to all.
3. Nature of AVD Coins
AVD coins are promotional reward points, not money, not cryptocurrency, and not legal tender.
AVD coins do not represent a fixed or guaranteed INR value.
Any INR value shown against AVD is approximate and indicative only, determined by AVIDERS at its discretion.
AVIDERS reserves the right to:
Change conversion rates
Limit usage
Pause redemption
Modify reward rules
No partner shall treat AVD coins as cash, prepaid value, or a guaranteed monetary instrument.
4. Partner Wallets & Coin Transfers
Approved Partners may be provided with a platform wallet to receive AVD coins from users.
Coins transferred to a Partner wallet represent engagement or support, not immediate payment.
Partners do not own AVD coins as currency; they hold them solely within the AVIDERS ecosystem.
Coins may be:
Returned to AVIDERS for settlement consideration, or
Used within AVIDERS as permitted (if enabled)
5. Settlement & INR Payments
INR settlement is discretionary, not automatic.
Settlement may occur:
Periodically (weekly/monthly/other cycles), or
On manual approval by AVIDERS.
Settlement amounts are calculated based on:
Coins returned or settled
Applicable conversion rate at settlement time
Platform rules, limits, and deductions
AVIDERS may delay or deny settlement if:
Coins originate from fraud, abuse, or error
Partner violates these Terms
Regulatory or compliance concerns arise
6. NGO-Specific Terms
If You onboard as an NGO, You confirm that:
You are a legally registered organization.
You authorize AVIDERS to:
Display your name, logo, and cause
Collect AVD coin-based donations on your behalf
Convert eligible donations into INR at AVIDERS’ discretion
Donations made via AVD:
Are voluntary and non-refundable once processed
May be settled in INR after verification
AVIDERS is not responsible for issuance of tax receipts unless explicitly agreed in writing.
7. Vendor / Seller / Supplier Terms
AVIDERS provides visibility, engagement, and reward-based user interactions, not guaranteed sales.
Any AVD-based benefit offered to users is:
A platform-managed incentive
Subject to limits and approval
Vendors acknowledge that:
Coin usage by users does not equal instant INR payment
Settlement may occur after verification and reconciliation
AVIDERS may deduct or reverse coins in cases of:
Order cancellation
Refunds
Abuse or misrepresentation
8. Tutor & Artist Terms
Profiles, pricing, and content are provided by You and must be accurate.
AVIDERS does not guarantee bookings, leads, or income.
Any AVD coins received:
Are promotional rewards
Subject to platform rules before settlement
AVIDERS is not liable for disputes between users and tutors/artists.
9. Content, Media & Recognition
Partners may upload:
Logos
Images
Videos
Testimonials or appreciation content
By uploading content, You grant AVIDERS a non-exclusive, royalty-free right to use it for:
Platform display
Marketing
Community engagement
Donor names, appreciation posts, or videos will be displayed only with appropriate consent.
10. Compliance & Verification
AVIDERS may request:
KYC documents
Registration proofs
Bank details
False, misleading, or outdated information may result in:
Suspension
Termination
Forfeiture of pending settlements
11. Suspension & Termination
AVIDERS reserves the right to suspend or terminate a Partner account if:
Fraud or abuse is detected
Terms are violated
Regulatory risk arises
Platform misuse occurs
Upon termination:
Partner wallets may be frozen
Pending settlements may be reviewed or canceled
12. Limitation of Liability
AVIDERS shall not be liable for:
Business losses
Missed opportunities
Indirect or consequential damages
AVIDERS acts only as a technology and engagement platform.
13. Modifications to Terms
AVIDERS may update these Terms at any time.
Continued use of the platform after updates constitutes acceptance.
14. Governing Law
These Terms shall be governed by the laws of India.
Any disputes shall be subject to the jurisdiction of courts determined by AVIDERS.
15. Acceptance
By clicking “I Agree”, submitting onboarding information, or using Partner features, You confirm that:
You understand the AVD reward model
You accept delayed and conditional settlement
You agree to all Terms above
